Nasdaq-listed Chinese retail and delivery platform Dada Nexus received a non-binding proposal from JD.com (HKG:9618) to acquire all outstanding American depositary shares it does not yet own at $2.0 per ADS.
The offer represented about a 42% premium over Dada Nexus' closing share price before the proposal, according to a Jan. 27 news release on NASDAQ.
A special committee was formed to evaluate the proposal and advise the board.
