Trade Desk Insiders Sell US$16m Of Stock, Possibly Signalling Caution

The fact that multiple The Trade Desk, Inc. (NASDAQ:TTD) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Trade Desk Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Director, Kathryn Falberg, for US$15m worth of shares, at about US$98.17 per share. That means that even when the share price was below the current price of US$124, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was 51% of Kathryn Falberg's holding.

Insider Ownership Of Trade Desk

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Trade Desk insiders own about US$5.8b worth of shares (which is 9.4% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Trade Desk insiders selling.
