Aon Insiders Sold US$26m Of Shares Suggesting Hesitancy

Many Aon plc (NYSE:AON) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Aon

The Senior Advisor, Christa Davies, made the biggest insider sale in the last 12 months. That single transaction was for US$13m worth of shares at a price of US$313 each. That means that even when the share price was below the current price of US$387, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 20% of Christa Davies's holding.

Happily, we note that in the last year insiders paid US$3.0m for 10.73k shares. But they sold 82.69k shares for US$26m. All up, insiders sold more shares in Aon than they bought, over the last year. Insider Ownership Of Aon

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Aon insiders own 1.1% of the company, currently worth about US$951m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

Insiders haven't bought Aon stock in the last three months, but there was some selling. Despite some insider buying, the longer term picture doesn't make us feel much more positive. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
