Generally, when a single insider buys stock, it is usually not a big deal. However, when several insiders are buying, like in the case of Civista Bancshares, Inc. (NASDAQ:CIVB), it sends a favourable message to the company's shareholders.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

In the last twelve months, the biggest single purchase by an insider was when Director Clyde Perfect bought US$50k worth of shares at a price of US$14.29 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$20.61. Because the shares were purchased at a lower price, this particular buy doesn't tell us much about how insiders feel about the current share price.
While Civista Bancshares insiders bought shares during the last year, they didn't sell. They paid about US$15.93 on average. To my mind it is good that insiders have invested their own money in the company. But we must note that the investments were made at well below today's share price. We saw some Civista Bancshares insider buying shares in the last three months. Interim Principal Accounting Officer Ian Whinnem purchased US$22k worth of shares in that period. It's great to see that insiders are only buying, not selling. However, in this case the amount invested recently is quite small.
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Civista Bancshares insiders own about US$11m worth of shares. That equates to 3.4% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
Insider purchases may have been minimal, in the last three months, but there was no selling at all. The net investment is not enough to encourage us much. But insiders have shown more of an appetite for the stock, over the last year. Insiders own shares in Civista Bancshares and we see no evidence to suggest they are worried about the future.
