NCino's outlook underwhelmed investors. For its fiscal 2026, the cloud-banking company expects adjusted per-share earnings of 66 cents to 69 cents and revenue of $574.5 million to $578.5 million. Analysts surveyed by FactSet modeled adjusted earnings of 88 cents a share and revenue of $612.1 million. The downbeat forecast came as the company swung to a loss and logged lower-than-expected sales in its fourth quarter. Shares tumble 29%, to $20, in after-hours trading.
TTEC Holdings said a special committee of its board is ready to consider and engage with a take-private offer from the company's founder and chief executive. Founder and CEO Kenneth Tuchman's previously announced proposal, dated Sept. 27, offered to acquire the company's outstanding shares for $6.85 each. That offer price marked a 69% premium to the most recent closing price at the time. Shares rise 24% to $4.07, in postmarket trading.
Venus Concept disclosed an $11 million debt-to-equity exchange transaction with Madryn Asset Management. The medical aesthetic technology company said that its total debt obligations reduced 54%, to $35.5 million, following the exchange of $11 million of its subordinated convertible notes held by affiliates of Madryn for 379,311 shares of its Series Y preferred stock. Shares fall 16%, to $2.20, in after-hours trading.
