Zscaler Insiders Sell US$56m Of Stock, Possibly Signalling Caution

Many Zscaler, Inc. (NASDAQ:ZS) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Zscaler

In the last twelve months, the biggest single sale by an insider was when the insider, Ajay Mangal, sold US$38m worth of shares at a price of US$202 per share. That means that an insider was selling shares at around the current price of US$199. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insiders At Zscaler Have Sold Stock Recently

The last quarter saw substantial insider selling of Zscaler shares. In total, insiders sold US$41m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does Zscaler Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Zscaler insiders own about US$6.0b worth of shares (which is 20% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
