华电国际电力股份(01071)今日股价大涨逾5%,主要受益于公司宣布收购控股股东中国华电旗下优质火电资产的利好消息。
根据公告,该公司将以总代价约73.27亿元人民币收购三项标的资产:其一为华电江苏能源80%股权;其二为上海华电福新能源51%股权、上海华电闵行能源100%股权等多家火电公司股权;其三为中国华电集团贵港发电100%股权。这些标的资产合计在运装机规模约1600万千瓦,占公司现有控股装机规模的27.2%,交易完成后将使公司控股装机规模大幅增至约7480万千瓦。
公司表示,本次注入优质火电资产将进一步提升其在电力行业的市场竞争力和品牌影响力。为支付收购现金对价部分,公司还拟向不超过35名特定对象发行新A股,募集配套资金不超过34.28亿元。
