长江和记实业控股有限公司(长和,长和)计划将旗下非中国港口资产出售给美国资产管理巨头贝莱德(BlackRock)牵头的财团,引发市场热议,长和股价今日盘中一度大涨近15%。
根据长和公告,该集团于3月4日与贝莱德、全球基础设施投资商Global Infrastructure Partners及Terminal Investment Limited组成的财团(简称"BlackRock-TiL财团")就出售和记港口集团80%股权的基本条款达成原则性协议。
根据协议,交易将涉及出售长和旗下Hutchison Port Holdings S.a r.l.及Hutchison Port Group Holdings Limited全部股权。这两家公司合共持有长和在和记港口集团80%的有效控制权益。和记港口集团在23个国家拥有并经营43个港口、199个泊位。这项交易不涉及港口信托(HPH Trust)在香港、深圳及华南地区的港口资产以及内地港口。
除此之外,交易还涉及出售和记港口在巴拿马港口公司(PPC)90%的股权。PPC拥有并运营位于巴拿马运河两端的巴尔博亚和克里斯托瓦尔两个港口。
按照初步基本条款,出售资产权益价值估计为177.65亿美元。长和预计交易将为集团带来现金所得超过190亿美元(约合1,482亿港币),双方将就最终条款进行145天的独家磋商。出售资产后,长和将不再持有这些港口资产的股权。
