智通财经APP讯，协合新能源(00182)发布公告，于2024年9月12日，供应方A天津协合华兴风电、供应方B四维能源(武汉)科技、承租人丰宁满族自治县聚霆新能源及融资人华润融资以订立以下协议的方式协定融资租赁安排：供应方A、承租人及融资人订立采购协议A，融资人将向供应方A购买设备A以出租设备A予承租人，购买价A约为人民币4.12亿元;供应方B、承租人及融资人订立采购协议B，融资人将向供应方B购买设备B以出租设备B予承租人，购买价B为人民币9120万元;及承租人与融资人订立融资租赁协议，承租人将于租期内向融资人租赁设备A及设备B，且承租人须向融资人支付季度租赁款作为代价。
据悉，设备A为电站的若干太阳能设备(包括光伏板组件、逆变器、电缆、箱变、支架及其他配套设施)。设备B为用于电站的储能设备(包括储能电池系统、变压器、储能监控系统及其他辅助设施)。
融资租赁安排乃于集团日常及一般业务过程中订立，让集团可取得其营运所需的财务资源及需要使用的若干设备。董事认为，融资租赁安排的条款乃按正常商业条款订立，属公平合理，且符合股东的整体利益。设备A及设备B于2024年8月31日的未经审核总账面值约为人民币5.03亿元。根据香港财务报告准则，融资租赁安排项下拟进行的交易将不会导致集团录得任何出售收益或亏损。
