正通汽车(01728.HK) 发公告指，联交所昨日(10日)就尚未披露的主要及关连交易的事宜发出纪律行动声明，公司若干前任董事受到由公开谴责至被联交所发出董事不合适性声明的处分。联交所也批评公司之前违反《上市规则》规定，因为承诺函和差额补足协议构成了主要及关连交易。
公司指，有关承诺函和差额补足协议分别在2016年和2020年订立，均发生于国贸控股在2021年8月收购公司29.9%股份并成为公司第一大股东之前。而声明只是针对涉事董事，不牵涉任何于国贸控股成为公司大股东后获委任的董事。
公司亦指，接受联交所的批评，在国贸控股成为公司第一大股东以来已改善内部控制并致力良好的企业管治。(vc/)
