智通财经APP讯，万国黄金集团(03939)发布公告，于2024年9月22日，该公司与认购方金山(香港)国际矿业有限公司订立认购协议，认购方有条件同意认购而本公司有条件同意配发及发行合共1.656亿股股份，认购价为每股认购股份8.33港元。认购股份占扩大后公司已发行股份约15.28%，认购价为每股认购股份8.33港元相当于2024年9月20日收市价每股9.25港元折让约9.95%。
认购事项所得款项总额将约为13.794亿港元，而扣除所有相关开支后所得款项净额将约为13.791亿港元。根据认购协议，50%所得款项净额将用作有关所罗门群岛金岭矿勘探及开发项目的拨款，及余下50%所得款项净额将用作公司一般营运资金，惟本公司有权根据适用法律及法规调整所得款项用途。
据悉，认购方为紫金矿业的全资子公司，一间于上海证券交易所(601899,SH)及联交所 (02899)上市的公司，紫金矿业是一家规模庞大的跨国矿业集团，在全球范围内致力于铜、金、锌、锂、银、钼等金属矿产资源的勘探开发、采矿工程的研究、设计和应用等，为低碳未来提供提高生活水平的材料。与紫金矿业的合作不仅提供资金加快发展本集团位于所罗门群岛的金岭项目，还有助于经验共享，并在海外采矿技术及矿山营运方面提供支援。
