智通财经APP讯，港华智慧能源(01083)发布公告，于2024年9月26日，港华燃气投资(为公司的间接全资附属公司)与山东港华、山东济华、济南能源集团及中华煤气(济南)(为中华煤气的全资附属公司)订立合并协议，并与济南能源集团及中华煤气(济南)订立合资文件。根据合并协议(待公司股东于股东大会上批准该合并后生效)，山东济华将被山东港华吸收合并。山东港华目前由济南能源集团拥有51%权益及由中华煤气(济南)拥有49%权益，而山东济华目前由济南能源集团拥有51%权益及由港华燃气投资拥有49%权益。于该合并后，山东港华将由济南能源集团拥有51%权益、由中华煤气(济南)拥有30.3%权益及由港华燃气投资拥有18.7%权益，而山东济华将不再作为法人实体存在。
公告称，为全面落实济南市人民政府提出的构建多个气源和调峰互补的全市供气“一张网”发展规划，山东港华与山东济华就该合并，旨在整合资源，扩大规模，提升效率。该合并后，山东港华将进一步扩大在济南市的经营规模和服务范围，巩固其市场领先地位，并在“一城一企”的燃气改革中抢占先机，同时将整合双方优势资源，优化资产配置，打造更强大的市场竞争力和风险抵御能力。
