智通财经APP讯，贝康医疗-B(02170)发布公告，公司全资拥有的BMX Holdco Pte. Ltd.的全资子公司Genea Biomedx Pty Ltd.(Genea Biomedx)近期与Gattaca Genomics LLC(Gattaca)订立了买卖协议，据此，Genea Biomedx预计将在两年内向Gattaca出售Geri®全时差培养箱，并将向其销售相关耗材及软件等。在上述两年内，Gattaca计划开设约100个活跃站点，每个活跃站点都将安装一套或多套自Genea Biomedx采购的Geri®全时差培养箱。Geri®全时差培养箱为全球首台实现湿式培养的时差培养箱，可以为胚胎的发育提供稳定的渗透压环境。
Gattaca为提供尖端基因检测的生殖健康领域开拓者，为个人和夫妇的计划生育之旅赋能。Gattaca计划打造一家垂直整合型企业，涵盖试管婴儿诊所、精子╱ 卵子库及研究中心。
买卖协议的条款(包括代价)已经Genea Biomedx与Gattaca按公平原则磋商后达致。董事会认为买卖协议的条款乃按一般商业条款订立，属公平合理，且订立买卖协议有望大幅扩大Genea Biomedx的Geri®全时差培养箱在现有及新客户中的安装量，从而增加交叉销售集团其他产品和服务的机会，及(巩固Genea Biomedx在Gattaca业务网络内的立足点，从而令Genea Biomedx得以扩大在冷冻储存解决方案、基因测序仪及耗材领域的市场影响力并进一步释放协同效应。因此，订立买卖协议符合公司及其股东的整体利益。
