智通财经APP讯，江苏宁沪高速公路(00177)发布公告，于2024年9月25日，广靖锡澄公司行使其持有苏租转债转股权。于本公告日，苏租转债转股价格为人民币3.05元/股，广靖锡澄公司持有的苏租转债可换得1.28亿股江苏金租A股。于2024年9月17日(即江苏金租最后公开披露其A股普通股总数之日)，江苏金租的A股普通股总数为46.97亿股，广靖锡澄公司持有3.28亿股江苏金租的A股普通股(占江苏金租约6.98%的股权)。假设江苏金租除因广靖锡澄公司行使其持有的换股权而增加的1.28亿股A股普通股外并没有其他股数的增减，广靖锡澄公司将持有4.56亿股江苏金租的A股普通股(占江苏金租经广靖锡澄公司转股事项扩大后A股普通股约9.45%的股权)。
本次行使转股权可避免广靖锡澄公司所持“苏租转债”被强制赎回，造成投资损失，也可为广靖锡澄公司保持对江苏金租的持股比例，避免股东权益被稀释，摊薄所享有利润和现金分红，保障广靖锡澄公司其作为江苏金租股东的有关权益及公司的有关权益。
