In the last year, many Advanced Drainage Systems, Inc. (NYSE:WMS) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Over the last year, we can see that the biggest insider sale was by the insider, Michael Huebert, for US$1.9m worth of shares, at about US$138 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$156. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 21% of Michael Huebert's stake.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Advanced Drainage Systems insiders own 1.5% of the company, worth about US$177m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
It doesn't really mean much that no insider has traded Advanced Drainage Systems shares in the last quarter. While we feel good about high insider ownership of Advanced Drainage Systems, we can't say the same about the selling of shares. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
