智通财经APP获悉，嘉和生物-B(06998)今日复牌，早盘高开近88%。截至发稿，涨87.88%，报3.1港元，成交额118.11万港元。
消息面上，嘉和生物公告称，公司将以合并方式收购亿腾医药集团(标的公司)，于合并生效时间，公司的全资附属GenEdd(合并附属公司)将被合并并入标的公司，而标的公司将作为存续实体并成为公司的全资附属公司，而公司将配发及发行合共18.21亿股代价股份予标的公司股东作为代价。
据悉，公司与亿腾医药集团订立CDK4/6i外包管理协议。董事预期CDK4/6i商业化在即，且公司的发展到了一个重要的阶段，需要有强大的商业能力来把握着一切可能的市场机遇。董事会认为标的集团符合上述标准。建议合并是公司向成熟且全面整合的生物制药公司迈出的关键一步，预期将为集团及标的集团带来互补及协同效应，并为合并完成后经扩大集团的可持续发展奠定良好的基础。
值得注意的是，董事会建议于合并生效时间后，将公司英文名称由“Genor Biopharma Holdings Limited”更改为“Edding Genor Group Holdings Limited”，并将公司的双重外文中文名称由“嘉和生物药业（开曼）控股有限公司”更改为“亿腾嘉和医药集团有限公司”。
