智通财经APP讯，茂业国际(00848)发布公告，公司是间接非全资附属公司淄博茂业商厦有限公司的股东与其其他股东已于2024年10月8日通过决议案并依照中华人民共和国公司法和公司章程规定成立清算小组，以根据中华人民共和国适用法律及法规对淄博茂业商厦有限公司进行清算。
公告称，由于淄博茂业商厦有限公司营业执照的法定经营有效期限于2024年6月25日届满，淄博茂业商厦有限公司于2024年6月28日召开有关“同意淄博茂业商厦有限公司营业期限变更为长期”的股东会议案，但持有淄博茂业商厦有限公司股权20%的股东淄博东泰集团有限公司“弃权”未参加表决，依法召开的股东会决议生效通过，淄博茂业商厦有限公司按照股东会决议进行了工商变更。
其后，淄博东泰集团有限公司于2024年8月12日以《通知函》的形式，对淄博茂业商有限公司在2024年6月25日营业期限届满后变更为长期投反对票，淄博茂业商厦有限公司两位股东无法就淄博茂业商厦有限公司营业期限的变更事项达成一致意见。为此，淄博茂业商厦有限公司的大股东中兆投资管理有限公司同意淄博茂业商厦有限公司的营业期限不变更为长期。淄博茂业商厦目前的营业期限于2024年6月25日届满，依据淄博茂业商厦有限公司章程第二十六条(1)的规定，淄博商厦有限公司因营业期限届满而解散，即需按相关法律法规以及公司章程进行自愿解散清算。
