金吾财讯 | 珠江船务(00560)公布，继公开招标的成功中标后，于2024年10月15日(交易时段后)，珠江内河(作为认购方)与目标公司(开平市城市投资集团)的现有股东及目标公司订立增资入股协议。据此，珠江内河同意认购且目标公司的现有股东及目标公司同意发售认购股份，代价为人民币1.15亿元。
据悉，目标公司是一家根据中国法律成立的有限公司，主要是于江门市投资开发三埠新港以从事货物处理、运输及仓储业务。于紧接完成前，目标公司由目标公司的现有股东持有100%股权。根据审计报告，截至2024年3月31日，目标公司经审核的总资产、总负债及净资产分别为约人民币2.89亿元、人民币1.79亿元及人民币1.1亿元。待完成后，珠江内河及目标公司的现有股东将分别持有目标公司51%及49%的股权。目标公司将成为珠江内河的直接非全资附属公司。预期目标公司的财务资料将被合并到集团的合并财务报表中。
