智通财经APP讯，珠江船务(00560)发布公告，继公开招标的成功中标后，于2024年10月15日，珠江内河(作为认购方)与目标公司(开平市工投货运港口)的现有股东及目标公司订立增资入股协议。珠江内河同意认购且目标公司的现有股东及目标公司同意发售认购股份(目标公司的51%股权)，代价为人民币 1.15亿元。
待完成后，目标公司将成为珠江内河的直接非全资附属公司。
目标公司现正在建设5个1000吨级泊位，占地约 325亩的新港口(其中首期用地为 262.32 亩)(三埠新港)，同时根据审计报告和公司可获得的信息，目标公司尚未产生任何收入或利润。
三埠港客货运输(珠江内河持有 40%股权的联营公司)现于中国开平市经营和管理一个内河码头(三埠港)。由于江门市政府为推进开平市城市建设发展规划，三埠港将会被江门市政府征收码头用地及土地上的建筑物等。
于建设完成后，三埠新港将积极把握粤港澳大湾区快速发展及未来开平市港航资源整合新增矿砂等大宗散货货源的发展机遇，将提供内外贸集装箱，散货和件杂货运输服务，以及保税区、仓储、电商与物流园等仓储物流服务，打造开平市综合性、公共性的现代化港口。根据自愿性公告披露，于考虑三埠港被征收后，现有客户、业务及员工将转移至三埠新港承接，董事会认为股份认购事项为一个很好的投资机会，并相信三埠新港的业务于未来可为集团带来持续及稳定的收益。
