金吾财讯 | 中国建筑国际(03311)公布，于10月16日，各订约方签订股东协议，以于中国北京成立合资公司。合资公司将主要从事污水处理及其再生利用、水污染治理及市政设施管理等业务。根据股东协议，合资公司的注册资本总额将为7.6亿元人民币。合资公司成立后，集团将合共持有合资公司约35.1%股权，因此合资公司不会成为公司的附属公司，其财务报表亦不会于公司的财务报表综合入账。合资公司的董事会将由七名成员组成，由北京北排、中建生态环境及北京海耀建设分别推荐四名、一名及两名董事。合资公司的董事长由北京北排推荐的董事担任。成立合资公司的目的为投资、建设及运营北京市内的一个再生水厂项目，预计其总建筑面积约为15万平方米，土建规模约为每日50万立方米，设备安装规模约为每日35万立方米。成立合资公司符合集团持续增强建筑科技业务、与环保相关的建筑业务的战略，预期将为集团提供相对稳定及长远的收益。
