智通财经APP讯，绿叶制药(02186)发布公告，于2024年10月22日(交易时间后)，公司与认购人订立认购协议。根据认购协议(其中包括)，公司已附条件同意根据认购协议所列若干条件向认购人发行，且认购人亦已附条件同公司商定根据认购协议所列若干条件认购和支付债券。
据悉，债券为拟发行1亿美元5.85%利率2025年到期可转换债券及5000万美元5.85%利率2025年到期可转换债券。
债券可依照条款和条件转换成转换股份。如果债券全部按每股股份的初步换股价3.672港元进行转换、并且不再发行其他股份，债券将转换成3.18亿股股份，约占公司截至本公告日期已发行股本的8.44%，以及约占公司截至本公告日期在债券全部转换下发行转换股份后的经扩大已发行股本的7.78%。
公司将向新交所提交申请，申请债券在新交所上市。公司还将向联交所提交申请，申请转换股份在联交所上市和交易。
