世纪建业(00079.HK) 公布，曾昭武、曾昭婉及已故曾昭政的母亲司徒玉莲旗下Szeto (Amusement)拟将其持有的全部5,099.63万股股份(占公司已发行股本约15.64%)，以象征式代价1元代价转让给ST(79)；主要股东Barsmark拟将其持有的全部1,932.92万股(占公司已发行股本约5.93%)转让给ST(79)。完成后，ST(79)于公司的持股量由约27.07%增至48.64%。
作为简化ST Investments最终受益人股权结构的一部分，由公司执行董事兼主席曾昭武持有的磐基投资、公司执行董事曾昭婉持有的Ssky Investments及Fortune Ocean将分别将其持有的ST Investments全部股权转让给最终受益股东分别为曾昭武、曾昭婉及许韵思与许韵芝。完成后，磐基投资、Ssky Investments及Fortune Ocean将不再被视为拥有集团任何股份的权益。
Fortune Ocean由许韵思及许韵芝以已故曾昭政遗产共同管理人的身份管理，而许韵思为已故曾昭政之配偶，是许韵芝之胞姐。
集团指出，上述转让建议不会涉及董事会组成的任何变动，且任何一项或全部上述转让建议的完成不会对集团的业务和营运产生影响。ST(79)已向证监会申请豁免因完成上述转让建议根据收购守则规则作出强制全面收购要约之责任。(jl/da)(港股报价延迟最少十五分钟。)
