港华智慧能源(01083.HK) 公布，与控股股东香港中华煤气(00003.HK) 及其子公司名气家订立转让协议，据协议，中华煤气及名气家将促使名气家及其附属公司持有中华煤气延伸业务及拥有中华煤气中国延伸业务资产，使名气家成为中华煤气延伸业务的控股公司，而名气家成都将以2,243.2万元收购港华智慧能源旗下持有进行延伸业务的公司之49%股权，令该等公司转由名气家成都全资拥有。
港华智慧能源将会进行重组，将其旗下从事延伸业务的公司之股权及公司较高价值功能集合至控股公司的目标公司之中，再将目标公司股权全数转予名气家的子公司，以及促使集团拥有权益的公司向新供应商转让延伸业务，以换取名气家12%股权。另外，集团拥有权益的公司将向新供应商转让其目标资产，以换取现金代价。(vc/da)(港股报价延迟最少十五分钟。沽空资料截至 2024-10-25 16:25。)
