智通财经APP获悉，华电国际(01071)涨超5%，截至发稿，涨5.11%，报3.91港元，成交额3568.65万港元。
消息面上，华电国际发布公告，于2024年10月30日，公司分别与中国华电、华电福瑞及运营公司各自订立补充协议，据此，订约方已确定购买标的资产I、标的资产II及标的资产III的最终对价分别为人民币34.283亿元、19.006亿元及19.977亿元(包括运营公司向贵港发电的资本储备支付的人民币1.60亿元)。
标的资产II及标的资产III的对价分别增加不超过人民币2.50亿元及1.90亿元，以反映华电福瑞及运营公司于过渡期可能分别向标的公司II及贵港发电的注册实缴资本╱资本储备支付的金额。标的资产I的对价将全部以发行对价股份支付，本次交易的余下对价将以现金支付。
公司拟向不超过35名(含35名)符合条件的发行对象发行新A股。募集配套资金总额不超过人民币34.28亿元(即对价股份总额的100%(向下取整至最接近的人民币百万元))，拟发行的新A股数量不超过对价股份发行完成后公司已发行总股本的30%。建议发行A股下拟发行的新A股的数量及价格将按照中国证监会的相关规定确定。
