联易融科技拟4750万元收购目标公司29.38%股份
财中社10月29日电联易融科技（09959）发布公告，买方与卖方于2024年10月29日签署股权转让协议，买方将以4750万元收购拜特科技（目标公司，834596）1931万股股份，约占目标公司股权的29.3763%。此次交易包括483万股无条件股份及1448万股受限制股份。
根据上市规则，因该交易与过去12个月内的收购事项合并计算，适用的比率超过5%但低于25%，因此构成须予披露交易，且无需股东批准。完成后，买方将持有目标公司3574万股股份，占比54.3763%，目标公司将成为其间接附属公司，其财务业绩将并入本公司财务报表。
目标公司于2023年12月31日的资产总值为1.5亿元，资产净值为7970万元，2023年税后净利润为290万元。此次收购旨在丰富联易融科技的产品组合及提升技术能力，进而整合双方的技术优势和客户资源，以更好地服务核心客户。
