嘀嗒出行拟750万美元认购优信股份 价格折让17%
财中社11月5日电嘀嗒出行（02559）发布公告，宣布其间接全资附属公司拼途北京与优信有限公司达成股份认购协议。根据协议，拼途北京将以每股0.004858美元的价格认购合共15.44亿股优信有限公司A类普通股，总金额为750万美元。此次认购的价格较优信有限公司最近60个交易日的平均收市价有约17%的折让。
此外，由于李斌为非执行董事，并控制优信有限公司约62.1%的投票权，该交易被视为关联交易。根据上市规则，尽管该交易的适用百分比率高于0.1%但低于5%，因此无需独立股东批准。公司认为，此次股份认购将促进与优信有限公司的合作，提升公司在二手车市场的竞争力。完成该交易需满足特定付款及交割条件，股东需谨慎行事。
