　　嘀嗒出行（02559.HK）发布公告，旗下子公司Lightwind Global Limited（拼途北京）于2024年11月4日与优信（UXIN）订立股份认购协议，据此，优信同意配发及发行，而Lightwind Global Limited同意认购合共15.44亿股优信有限公司A类普通股。

　　根据协议，认购价为每股0.004858美元，认购总金额为750万美元。此次认购的价格较优信有限公司最近60个交易日的平均收市价有约17%的折让。

　　由于李斌先生为公司非执行董事，并控制优信有限公司约62.1%的投票权，该交易被视为关联交易。根据上市规则，尽管该交易的适用百分比率高于0.1%但低于5%，因此无需独立股东批准。

　　公司认为，由于嘀嗒出行与优信有限公司在汽车后市场行业的潜在协同效应及二手车市场的增长机会，建议认购事项对嘀嗒出行有利。嘀嗒出行期望通过与优信的合作，在其平台上为私家车主提供更多售后服务，促进二手车交易，吸引更多私家车主，以提升公司的客运能力。

　　优信（UXIN），于2018年6月27日在美国纳斯达克挂牌上市，当时以每份9美元发行2500万份ADS（美国存托凭证），IPO募资达2.25亿美元。优信主要从事通过线上平台及线下零售店向全国客户提供二手车购买产品及服务。
