智通财经APP讯，数字王国(00547)发布公告，公司已与纽约梅隆银行(Bank of New York Mellon)设立一项保荐一级美国预托证券(美国预托证券)计划(该计划)。
美国预托证券是一种类似股票的可转让证券，由公司委任的一间美利坚合众国(美国)存管银行发行，作为一股或多股美国预托股份的凭证，每股美国预托股份相当于公司500股普通股。
根据公司采纳的该计划，美国预托证券将就于香港联合交易所有限公司主板买卖并已根据该计划存入托管银行的普通股发行。
根据该计划，美国预托股份的拥有人及持有人享有与公司普通股持有人相同的股息及分派权利以及投票权，惟须受纽约梅隆银行(作为存管处)、公司及美国预托股份之拥有人及持有人订立的托管协议所规定的执行程序所规限。
公司根据该计划登记的美国预托股份数目为3亿股美国预托股份。公司设立该计划不属于发售新股，而美国预托证券乃以公司目前已发行的股份为基础。因此，公司并无因设立该计划而获得收益。
该计划的主要目的及裨益是增加公司股份在美国的流通性及提供进入美国资本市场的途径。
