智通财经APP讯，海峡石油化工(00852)发布公告，于2024年11月8日，公司执行董事兼最终控股股东之一王健生先生透过单方面申请，从香港高等法院取得针对公司、姚国梁(公司执行董事兼最终控股股东之一，姚先生)、邓珩先生(独立非执行董事)、谭笑博士(执行董事)及马毅博士(执行董事)的命令。
该命令规定，在通过任何发行新股份的决议前，以及在订立任何具法律约束力的义务或文件以发行新股份前，上述被告须提前72小时(不包括周末)通知王先生，并提供有关发行该股份的原因、认购人身份、发行该股份的价格及将予发行股份数量的详细资料。
王先生目前持有公司已发行股份超过50%，其中49.06%透过彼与姚先生共同控制的公司(即Forever Winner International Ltd.)持有，2.38%透过彼的全资附属公司(即Speed Success Group Limited)持有。
该命令将持续至2024年11月11日上午11时正，除非法院进一步命令予以更改或延续。有关王先生单方面申请的法律程序押后至2024年11月11日上午9时30分。
董事会谨此澄清，公司仅探讨进行股份配售的可行性，并未与任何配售代理或投资者订立任何具法律约束力的协议。
公司已寻求法律意见，并将采取必要行动，包括在适当时出席法律程序，以保护公司及其股东的整体利益。
