中国重汽(03808.HK) 公布，为根据中国相关法规及政策，落实一家企业集团只能设立一家财务公司的规定，公司的控股股东山东重工提议整合集团内部两间财务公司(即山东重工财务公司及重汽财务公司)的资源。据此，中国重汽的非全资附属重汽财务公司会进行自动清盘以完全遵守相关中国法规及政策。
此外，中国重汽向重工财务公司作出增资，金额为34.85亿元人民币(约37.75亿港元)。而重工财务公司的现有权益持有人亦增资20.91亿元人民币(约22.65亿港元)，当中，潍柴动力(02338.HK) 增资涉及7.84亿元人民币，其中3.38亿元人民币将用作增加重工财务公司的注册股本，4.47亿元人民币将用作增加重工财务公司的资本公积。
完成后，中国重汽将于重工财务公司权益总额的37.5%中拥有权益，而重工财务公司将被视为公司的联营。至于潍柴动力于重工财务公司的权益将由37.5%减少至约23.44%。
鉴于重汽财务公司将逐步终止其业务营运，并将于自动清盘后停止向中国重汽提供财务服务，展望未来，中国重汽拟与山东重工财务集团进行合作，由其向中国重汽成员公司提供若干必要财务服务。因此，中国重汽已与山东重工财务公司订立2027年存款服务协议及2027年抵押类金融服务协议以规管相关交易条款。(jl/k)(港股报价延迟最少十五分钟。沽空资料截至 2024-11-11 16:25。)
