中广核新能源签订运维协议 年度上限达1亿元
财中社11月20日电中广核新能源（01811）发布公告，与中广核（北京）新能源科技签订了风电场及光伏电站运维服务框架协议，协议有效期自2024年11月20日至2026年12月31日。根据协议，中广核（北京）新能源科技将为公司所有风电场及光伏电站提供技术维护服务。
公告指出，中广核（北京）新能源科技为中广核太阳能的全资附属公司，而中广核为公司的控股股东，间接持有公司约72.30%的已发行股本。由于相关交易的年度上限适用百分比超过0.1%但低于5%，因此本次持续关联交易获得豁免独立股东批准，但需遵守上市规则的申报及公告规定。
根据历史交易数据，过去三年内，已付或应付的服务费用分别为4890万元、2400万元和2070万元。对于未来服务费用，2024年至2026年建议的年度上限分别为5000万元、9000万元和1亿元。董事会认为，与中广核（北京）新能源科技的合作将为公司提供更具成本效益和更稳定的服务。
