智通财经APP讯，康达环保(06136)发布公告，于2024年11月18日，该公司的间接全资附属重庆康达及平顶山康达(作为转让方)、舞钢市洁源(作为受让方)与舞钢市政府订立资产转让协议，转让方同意出售而舞钢市洁源同意收购相关资产，代价为人民币5700万元。
根据资产转让协议的条款及条件，转让方同意出售而舞钢市洁源(作为受让方)同意收购，包括但不限于：与污水处理厂相关的特许经营权;污水处理厂及其对应设施;舞钢市政府结欠平顶山康达的污水处理费(包括逾期利息及费用);及转让方根据特许经营协议享有的所有权利和义务(统称“相关资产”)。
经考虑污水处理厂的当前营运状况及未来营运成本;污水处理厂设施及设备升级改造的潜在资本开支;及舞钢市政府结欠的污水处理费账龄，董事会认为资产转让将使本集团节省大量污水处理厂的营运开支及潜在资本开支，透过变现相关资产获得即时现金流入，并将时间和资源分配到其他更有利可图的特许经营项目中。
此外，资产转让是配合舞钢市政府而进行，舞钢市政府正在收购市政资产，包括相关资产。资产转让的受让方是由舞钢市政府指定的企业，并由舞钢市国有资产监督管理局全资拥有。尽管代价低于相关资产的账面净值，但考虑到污水处理厂的持续营运的财务和资本需求，以及舞钢市政府结欠的污水处理费账龄，董事会认为代价属公平合理。
