齐合环保(00976.HK) 公布，董事会成员于本月4日收到一封自称为管理人的寄件者发送的电邮，并附上了一份通知。
通知提及，隆鑫重整公司与投资者已签订重整投资协议。据悉，投资者同意从隆鑫重整公司收购某些资产，包括4.77亿股齐合环保普通股，占公司已发行股本约29.72%；管理人将更改董事会组成；以及管理人计划于今年年底前完成上述拟齐合环保股权及董事会组成的变动。
齐合环保回应指，鉴于中国诉讼和少数股东的法律行动，因此是否会继续进行拟公司股权及董事会组成的变更尚不确定。由于上述管理人的通知未提供拟董事会组成变动的任何细节，也未确定任何潜在的董事会成员候选人，因此也不确定所谓的董事会组成变更是否会对公司的营运和业务产生重大不利影响。(js/w)
