联华超市拟出售三家附属公司股权 总价1.46亿元
财中社11月19日电联华超市（00980）发布公告，计划于2024年12月5日召开第二次股东特别大会，主要讨论重选非执行董事、出售附属公司全部股权的主要交易及相关交易，以及续签现有百联中环租赁协议。此次出售涉及江苏联华、安徽世纪联华及虹口世纪联华三家附属公司，总对价约为1.46亿元，评估基准日的净资产总值为370万元。
公告中指出，江苏联华的对价为6332万元，安徽世纪联华的对价为5684万元，虹口世纪联华的对价为2536万元。根据独立评估师的报告，江苏联华的评估价值为15.15亿元，安徽世纪联华为9.17亿元，虹口世纪联华为3.23亿元。董事会认为此次交易符合公司的整体利益，建议股东投票支持。
此外，公告提到，出售所得将用于补充运营资金，其中40%将用于支付人工薪酬，20%用于房屋租金、物业管理费和水电费，其余将用于日常经营及行政开支。董事会及独立董事委员会均支持此次股权转让及租赁协议的续签，认为其条款公平合理。
