阳光纸业签5000万元贷款协议，管理层承认申报失误
财中社11月22日电阳光纸业（02002）发布公告，涉及其附属公司世纪阳光与贷款银行及齐城智慧签订的委托贷款协议。该协议的本金金额为5000万元，利率为一年期LPR加440个基点，贷款期为一年。齐城智慧需按月支付利息，并在贷款到期时偿还本金。贷款资金将用于齐城智慧的一般运营资金。
由于在过去12个月内与相同及互有关联的借款方签订了多个贷款协议，按照上市规则第14.22及14.23条的要求，该委托贷款协议的交易须合并计算。相关协议的适用百分比率超过5%但低于25%，因此构成公司的一项须予披露交易。
公告中还提到，由于管理层的无心疏忽，未能及时申报和公告先前的贷款协议。公司承认这一失误，并已采取措施加强内部监控程序，以避免未来再次发生类似事件。董事会认为，此次未能符合上市规则为个别事件，不会对公司的业务和财务产生重大影响。
