智通财经APP讯，卓越商企服务(06989)发布公告，于2024年11月21日，卓越物业(公司的全资附属公司)与卓越置业订立结算协议，(i)卓越物业将有条件出售而卓越置业将有条件收购销售权益，代价为人民币3.38亿元;及(ii)卓越物业将有条件收购而卓越置业将有条件出售目标股权及抵销资产，总代价为人民币2.51亿元。
销售权益为卓越物业拥有的出售公司的全部股本权益。出售公司为深圳市卓投小额贷款有限责任公司，为公司的间接全资附属公司。
目标股权为卓越置业所拥有目标公司的50%股权。目标公司为深圳市卓越不动产投资有限公司，为卓越置业的非全资附属公司。
抵销资产包括建筑面积为11926.77平方米的181套商务公寓。目标资产包括3栋建筑，即位于上海市五角场中心区及总建筑面积为90713.34平方米的100米高主楼及50米高双子塔、下沉式花园广场。
董事会认为出售事项能剥离非主营业务，聚焦发展主营业务，有利于公司的健康可持续发展，维护股东利益。
目前商业物业价格处于低位，交易乃集团以优惠价格收购高质量资产的机遇，具有资本收益潜力并可拓宽集团的收入来源，也可以通过转售获得投资收益。项目位于公司重点布局区域，符合公司聚焦“大湾区+长三角+其他地区”的“1+1+X”战略。本次交易有助于延申集团服务价值链由物业管理向商业运营迈进，同时，交易附带回售条款，投资风险可控。
