财中社11月22日电现代牙科（03600）发布公告，宣布与卖方A和卖方B签订了两项买卖协议，涉及收购 Hexa Ceram74%的股份。根据买卖协议A，买方有条件同意购买占目标公司已注册资本25%的股份，总代价为3.26亿泰铢（约7438万港元）；而在买卖协议B中，买方有条件同意购买占目标公司已注册资本49%的股份，总代价为6.13亿泰铢（约1.4亿港元）。
目标公司在过去两年中收入增长显著，2023年收入约为7.3亿元，较2022年增长约28%；2023年录得溢利约1.28亿元，较2022年增加约25%。买方将通过此次收购整合在泰国的销售及分销网络，并期望实现业务协同效应，以提升运营效率和市场地位。此次交易的完成日期预计为2025年1月9日。
