智通财经APP获悉，Old National Bancorp(ONB.US)于周一宣布，已达成一项价值14亿美元的现金和股票交易协议，将收购Bremer Bank的母公司Bremer Financial，此举不仅将使Old National Bancorp成为圣保罗-明尼阿波利斯地区的第三大银行，还将显著扩大其在明尼苏达州、北达科他州及威斯康星州的市场版图。
合并后的公司资产总额预计将达到700亿美元以上(依据2024年9月30日的资产数据)，而Bremer Financial截至同一日期的总资产、总贷款及存款分别达到了162亿美元、115亿美元和132亿美元。
根据协议的具体条款，Bremer的每股流通股将转换为4.182股Old National股票及26.22美元现金。基于Old National在11月22日的收盘价，这一转换使得Bremer的每股股票价值达到116.76美元。
交易完成后，目前持有Bremer多数股权的私人慈善信托机构Otto Bremer Trust将持有Old National约11%的股权，并且该信托的受托人也将加入Old National的董事会。
此外，双方已定于美国东部时间上午9:00举行电话会议，以进一步讨论此次收购的相关事宜。
