智通财经APP获悉，中国金石(01380)午前拉升近18%，截至发稿，涨17.74%，报5.01港元，成交额1537.9万港元。
消息面上，中国金石发布公告，于2024年11月11日，公司与AOF I已就该争议达成全面及最终和解，公司(作为发行人)已有条件同意配发及发行，而AOF I(作为认购人)已有条件同意认购合共4000万股新股份(和解股份)，认购价为每股和解股份0.20港元(认购价)。
假设公司已发行股本于本公告日期至和解股份发行日期期间并无变动(配发及发行和解股份除外)，则4000万股和解股份相当于公司经配发及发行和解股份扩大后已发行股本约15.69%。每股和解股份的认购价0.20港元较股份于2024年11月11日(即公司与AOF I就该争议达成全面及最终和解之日)在联交所所报的收市价每股0.116港元溢价约72.41%。
于本公告日期，根据违约通知，公司欠付AOF I的总金额约为857万港元。待先决条件达成后，认购事项的所得款项总额及所得款项净额(扣除相关专业费用及所有相关开支后)将分别为800万港元及约780万港元。按此基准，净发行价将约为每股和解股份0.195港元。
