财中社11月25日电力量发展（01277）发布公告，计划收购Seedlife的100%股权，交易总金额为4.23亿元。该收购涉及一系列补充协议，预计将于2025年1月3日召开股东特别大会进行审议。根据公告，力量发展将通过支付部分股权代价并抵消之前的待交付款项来完成此次收购。
公告中提到，Seedlife在2022财年的除税后净利润为3307万元，2023财年则增长至4841万元。此次收购的保底利润设定为5200万元，若实际利润低于此水平，力量发展将根据规定进行相应的调整并发布公告。独立财务顾问浤博资本有限公司认为，此交易条款公平合理，符合公司及股东的整体利益。
