智通财经APP讯，协合新能源(00182)发布公告，于2024年11月29日：(a)承租人A丰宁满族自治县聚霆新能源开发有限公司(公司的全资附属公司)及融资人A华润融资租赁有限公司协定融资租赁安排A，融资人A向承租人A购买配套设施(电站A全部太阳能设备的配套设施)，购买价为人民币3亿元，并将配套设施租回予承租人A，作为代价，承租人A须按季度支付租赁款;
及(b)承租人B依兰县增量混改新能源有限公司(公司拥有70%的附属公司)及融资人B上海越秀融资租赁有限公司协定下列融资租赁安排B：(i)承租人B及融资人B订立采购协议B，融资人B将向承租人B购买设备(用于电站B的风电设备)，购买价约为人民币2.71亿元;及(ii)承租人B与融资人B订立融资租赁协议B，承租人B将于租期B内向融资人B租赁设备，作为代价，承租人B须按季度支付租赁款。
公告称，融资租赁安排乃于集团日常及一般业务过程中订立，让集团可取得其营运所需的财务资源及需要使用的若干设备。董事认为，融资租赁安排的条款乃按正常商业条款订立，属公平合理，且符合股东的整体利益。配套设施及设备于2024年10月31日的未经审核总账面值约为人民币5.71亿元。根据香港财务报告准则，融资租赁安排项下拟进行的交易将不会导致集团取得任何出售收益或亏损。
