恒生银行与汇丰集团签订关联交易协议
财中社11月29日电恒生银行（00011/80011）发布公告，宣布恒生集团与汇丰集团于2024年11月29日订立了一套总协议，涵盖八类持续关联交易。汇丰集团是恒生银行的控股股东，恒生集团在日常业务中使用汇丰集团的基础设施和服务。这些交易符合《上市规则》第14A章的相关规定，且该协议旨在规范和简化恒生集团与汇丰集团之间的持续关联交易程序。
公告中提到，恒生集团将根据协议的安排，设置年度上限以监控交易。八类交易包括信息科技服务、外判营运服务、国际监管框架相关服务、集团行政与支持服务、金融服务、保险相关投资管理及咨询服务、公司间买卖交易及金融资产交易。所有交易的年度上限均低于5%，因此恒生银行在遵守相关规定时，获豁免独立股东批准的要求。
恒生银行表示，已成立专责小组以纠正未能符合《上市规则》的情况，并检讨现有措施及政策，确保对未来关联交易的管控和监测。该小组由高层管理人员及外聘法律顾问组成，旨在加强透明度及合规性。
