股东们声称，他们信赖巴克莱所以会亏损，巴克莱保证其政策和程序符合监管标准以及该行致力于实施强有力的内部控制。该诉讼涉及2021年2月18日至2023年2月14日期间巴克莱美国存托凭证的投资者。
巴克莱在2022年3月承认，在过去五年里，它出售的结构性和交易所交易票据比美国监管机构批准的208亿美元多出152亿美元。四个月后，该银行将超售金额提高至177亿美元，提出回购超额部分，并拨出15.9亿英镑(20.1亿美元)用于超额发行。
巴克莱还重申了其2021年的财务报表，其高管将过度发行描述为“完全可以避免的”和“自己造成的”问题。周二提交的法庭文件显示，巴克莱继续否认在和解协议中存在不当行为。
今年2月，Failla拒绝驳回诉讼，称股东可以试图证明包括前首席执行官Jes Staley在内的巴克莱高管“鲁莽行事”。她还表示，尽管巴克莱的保证听起来很笼统，但它们可以支持股东的主张，因为该行跟踪债券销售的系统“不仅表现不佳，而且根本不存在”。Staley于2021年11月辞去巴克莱首席执行官一职。
