智通财经APP讯，粤港湾控股(01396)发布公告，于2024年12月4日，公司拟向买方Elegance Rich Global Limited出售目标股权，代价为3600万港元。
目标公司为帆日有限公司(Sail Day Limited)，主要从事投资控股业务。目标股权指目标公司的全部股权及目标公司所持有的附属公司股权。于本公告日期且于完成前，目标公司为公司直接全资附属公司。目标集团主要于中国江西省赣州市从事物业开发销售及运营。
尽管自2023年以来频繁出台房地产支持政策，中国房地产市场整体仍持续下滑。赣州市房价的持续下跌对当地房地产行业各方面均带来了严峻挑战，导致目标集团的财务表现不佳。目标集团目前拥有大量未开发土地，其开发建设需要投入大量资金，且资金回收周期较长。此外，目标集团于前两个年度取得了未经审核净亏损，及于2024年9月30日的财务状况为未经审核净负债约人民币1.51亿元。
鉴于目标集团业务前景黯淡及基于对上述情况进行审慎评估，本次出售是公司实现目标集团投资回报、回笼现金以及改善流动性的机会。此外，出售事项完成后，目标集团的亏损将不再计入集团，预计会改善集团的整体财务表现及财务状况。
