智通财经APP讯，特步国际(01368)发布公告，于2024年11月30日，(i)出售事项已根据购股协议的条款完成;及(ii)KP可换股债券的发行已根据KP认购协议完成。
于出售事项完成后，KP Global集团不再为公司的附属公司，KP Global集团的财务资料将不再综合入账至集团的账目。
在出售事项完成的同时，已向不竞争契据项下的承诺人授出豁免，使其不必严格遵守不竞争契据项下适用于KP Global集团开展的“盖世威”及“帕拉丁”品牌业务的不竞争限制。
为规管于出售事项完成后集团与KP Global集团之间的安排，公司与KP Global就以下事项订立过渡服务协议：(i)集团向KP Global集团出租及许可使用上海、厦门及香港的办公空间;(ii)共享行政服务;(iii)提供财务资助;及(iv)共享仓库及物流服务。
