智通财经APP讯，百应控股(08525)发布公告，于2024年12月5日，本公司接获联交所的函件(该函件)，通知本公司其决定，根据GEM上市规则第17.26条，本公司未能维持足够的业务运作并且拥有相当价值的资产支持其营运，让股份得以继续上市，除非本公司根据GEM上市规则第4章的权利申请复核该决定，否则本公司股份将会根据GEM上市规则第9.04(3)条于2024年12月17日暂停买卖(该决定)。于作出该决定时，联交所认为(其中包括)本公司的金融服务业务规模极小，原因是该业务于过去三年中取得净亏损或溢利并不重大，且本公司并无证明该业务具有前景。联交所亦认为本公司的食醋业务目前规模仍较小，而本公司的纸品贸易业务并非实质业务。
根据GEM上市规则第4.06(1)条，本公司有权于接获该决定后7个营业日内(即于2024年12月16日或之前)要求GEM上市委员会复核该决定。本公司现正向其外聘顾问寻求意见，并将积极准备提请将该决定提交GEM上市委员会复核。
根据该函件，倘本公司股份被联交所暂停买卖，本公司必须重新符合GEM上市规则第17.26条的规定，履行联交所可能制定的任何复牌指引，并全面遵守GEM上市规则以令联交所满意，其后本公司方获允许恢复股份买卖。根据GEM上市规则第9.14A(1)条，倘本公司股份持续停牌12个月，联交所可取消其上市地位。
