智通财经APP获悉，ESR(01821)高开近5%，截至发稿，涨4.9%，报12港元，成交额6210万港元。
消息面上，12月4日，由喜达屋资本集团、Sixth Street 和 SSW Partners 牵头的财团和 ESR联合宣布财团的提案，拟通过协议安排(Scheme of Arrangement)将 ESR 私有化。该提案对ESR的股权估值为552亿港元(71亿美元)，是自2021 年以来香港联交所最大的私有化项目。
注销代价可选每持有一股协议安排股份收取注销价13港元；或每持有一股协议安排股份收取一股EquityCo股份。值得一提的是，13港元的要约价相较2024年4月24日的收盘价8.35港元，提案现金选项的溢价达55.7%；相较于截至2024年6月30日的ESR未经审计的合并净有形资产价值每股4.35港元，提案现金选项的溢价达199.1%。
