智通财经APP讯，新特能源(01799)发布公告，于2024年12月6日，公司拟向新疆天池收购目标公司(新疆准东特变能源有限责任公司)49%的股权，代价为人民币15.08亿元。
目标公司于本公告日期为新疆天池的全资附属公司。目标公司投资的唯一业务为北一电厂项目，其于2019年10月投产运营，主要业务为火力发电、热力及蒸汽的生产与销售。新疆天池的主要业务为煤炭开采及销售、电力及热力的生产与销售。
公告称，受多晶硅行业供需关系影响，集团近几年盈利水平大幅波动，甚至出现亏损。为了减少业绩大幅波动，集团积极布局新的利润贡献单元，改善利润结构，提升经营韧性和抗风险能力。目标公司所属的火力发电行业是中国电力供应安全的重要支撑。北一电厂项目是特高压外送通道配套电源，可贡献长期、稳定的收益。此外，集团拥有自备电厂，具有火力发电厂管理的专业人员和丰富经验，能够通过委派董事参与目标公司的管理，保障收益。
