智通财经APP讯，福禄控股(02101)发布公告，根据公司股东于2024年5月17日举行的公司股东周年大会上审议通过一般性授权，授予公司董事购回不超过于公司当日已发行股份数目的10%的股份(即不超过4086.41万股股份)的权利(股份购回授权)。股份购回授权将于下列最早期限到期：(a)公司下届股东周年大会结束时;(b)任何适用法例或公司组织章程大纲及细则规定公司须举行下届股东周年大会的期间届满时;及(c)经股东于股东大会上通过普通决议案予以撤销或修订股份购回授权之日。
于2024年12月6日，董事会谨此宣布，决议行使股份购回授权，视乎市场情况，不时于公开市场购回不超过股份购回授权的公司股份数(建议股份购回)。公司将以内部财务资源为建议股份购回提供资金并拟以库存方式持有。董事会相信，公司现时股份的买卖价格并未充分反映公司的内在价值，在当前市况下透过建议股份购回可以增强市场信心，并为股东创造价值回报，符合公司及股东的整体利益。
