中国中车附属公司拟8.68亿元购置资产 涉关联交易
财中社12月8日电中国中车（601766/01766）发布关于中车四方智汇港项目暨购置资产涉及关联交易的公告。公告指出，公司控股子公司四方股份和全资子公司四方所计划实施中车四方智汇港研发中心项目，拟购置中车青岛科技园的定制物业、商品房及车位，交易金额合计约为8.68亿元。由于中车青岛科技园为公司控股股东中车集团控制的企业，此交易构成关联交易，但不构成重大资产重组。
公告中提到，购置的定制物业评估价值为6.53亿元，交易价格为7.12亿元；32套商品房的评估价值为1.36亿元，交易价格为1.48亿元；50处车位使用权的交易价格为850万元。
该交易不需要提交股东大会审议批准，且过去12个月内公司未与同一关联人发生过相同类别的关联交易。此次交易将助力公司发展战略，满足下属子公司的研发办公需求，对公司的正常经营和财务状况无重大影响。
2024年前三季度，中国中车实现收入1525.83亿元，归母净利润72.45亿元。
